1. Agreement to Terms

By accessing or using the services provided by Smart Ads Consulting, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Smart Ads Consulting provides professional consulting services for Microsoft Advertising campaigns, including but not limited to campaign strategy, optimization, keyword research, performance analytics, and conversion rate optimization tailored for businesses in Tanzania and East Africa.

3. Service Agreement

Upon engagement of our services:

  • A separate service agreement will be provided detailing specific scope, deliverables, and pricing
  • Services begin upon receipt of signed agreement and initial payment
  • Client retains ownership of their Microsoft Ads accounts and data
  • We require appropriate access permissions to manage campaigns effectively

4. Client Responsibilities

Clients agree to:

  • Provide accurate information and timely responses to our requests
  • Maintain active Microsoft Ads account in good standing
  • Provide necessary access credentials and permissions
  • Review and approve campaign strategies and budgets
  • Pay fees according to the agreed payment schedule

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Fees are charged separately from Microsoft Ads spend
  • Invoices are due within specified payment terms
  • Late payments may incur additional fees
  • Services may be suspended for non-payment
  • Refunds are subject to our refund policy

6. Performance and Results

While we strive to achieve optimal results, we cannot guarantee specific outcomes, rankings, or ROI. Campaign performance depends on numerous factors including budget, competition, market conditions, and Microsoft's advertising platform. All projections and estimates are provided in good faith but are not guarantees.

7. Intellectual Property

All strategies, methodologies, and proprietary processes developed by Smart Ads Consulting remain our intellectual property. Campaign data, reports, and account ownership remain with the client. We may use anonymized case studies for marketing purposes with client approval.

8. Confidentiality

We maintain strict confidentiality regarding client business information, strategies, and data. We will not disclose confidential information to third parties except as required by law or with explicit client consent.

9. Limitation of Liability

To the maximum extent permitted by law, Smart Ads Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from our services.

10. Termination

Either party may terminate services according to terms specified in the service agreement:

  • Written notice period as specified in agreement
  • Immediate termination for material breach
  • Outstanding fees remain due upon termination
  • We will provide reasonable assistance with transition

11. Modifications to Terms

We reserve the right to modify these terms at any time. Changes become effective upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms.

12. Governing Law

These terms are governed by the laws of Tanzania. Any disputes shall be resolved through arbitration in Arusha, Tanzania, or as otherwise specified in individual service agreements.
